ponder.ing ("we", "us", or "our") provides a web-based application that enables users to upload and analyze files using artificial intelligence technologies. These Terms of Service (the "Terms") govern your access to and use of our services ("Services"). By using ponder.ing, you agree to be bound by these Terms and our Privacy Policy.
By creating an account, uploading files, or using any part of the Services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to the Terms, do not use the Services.
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date at the top, announce such amendment from 7 days prior to the effective date, specifying the effective date. You will be deemed to have consented to the amendment if you do not express your intent of refusal before the effective date of the amendment.
You must be at least 13 years old to use the Services. By using ponder.ing, you represent and warrant that you are at least 13 years of age and have the legal capacity to enter into these Terms.
Some features of the Services require an account. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are responsible for all activities that occur under your account.
Users may upload files (e.g., documents, PDFs, audio, video, images) for AI-powered analysis. By doing so, you authorize us to process these files using third-party AI services such as:
These providers process your data only to fulfill your AI feature requests.
By using AI features, you acknowledge that:
If you do not consent to third-party processing, do not use the AI features of the Services.
The Services rely on third-party artificial intelligence and large language models that generate output on a probabilistic basis. You acknowledge and agree that AI-generated output may be inaccurate, incomplete, outdated, biased, or otherwise unreliable (including so-called "hallucinations"), may not reflect real or current facts, and may differ from one request to another even where the same input is provided. We do not warrant, and make no representation as to, the accuracy, completeness, reliability, truthfulness, or fitness for any particular purpose of any AI-generated output.
AI-generated output is provided for informational and productivity purposes only and does not constitute professional advice of any kind (including legal, financial, medical, or tax advice). You are solely responsible for reviewing, verifying, and validating any output before relying on or acting upon it, and you assume all risk arising from your use of such output.
Because AI features depend on third-party providers and rapidly evolving technology, their availability, performance, underlying models, and results may change, be degraded, suspended, rate-limited, or discontinued at any time, and the Services may experience downtime, scheduled or emergency maintenance, delays, or errors. We do not guarantee that the Services or any AI feature will be uninterrupted, timely, secure, stable, or error-free, or that any defect will be corrected.
Dissatisfaction with, or a difference between, AI-generated output and your expectations is inherent to AI technology, does not constitute a defect, error, or malfunction of the Services, and does not entitle you to any refund.
ponder.ing offers paid subscription plans, including Casual, Plus and Pro memberships (collectively, "Paid Plans"), which provide enhanced features and capabilities. Specific features, usage limits, and pricing for each tier are described on our website and may be updated from time to time. In addition to Paid Plans, you may make one-time purchases of additional Credits ("Credit Top-Ups"). Credit Top-Ups are charged as a one-time payment and are added to your account immediately upon purchase. The validity period of Credits, if any, is as described on our website or at the time of purchase. Credits persist across plan changes, upgrades, downgrades, and cancellations, subject to any validity period and to Section 6.e.
Credits are consumed when a service runs, in amounts based on the complexity, volume, duration, model tier, or other technical factors of the request, as determined by us. We do not guarantee that any given number of Credits will yield a fixed quantity or quality of output, and we are not liable for differences between estimated and actual consumption. We may change the number of Credits required for any feature, with reasonable advance notice where required by applicable law. Consumed Credits are non-refundable. Credits may be used only by the account to which they were issued and may not be transferred, resold, or exchanged for cash. Unused Credits may be forfeited on expiry or on termination of your account, and Credits obtained or used fraudulently may be invalidated.
All subscription payments are processed securely through Stripe, Inc. ("Stripe"), a third-party payment processor. By subscribing to a Paid Plan, you agree to Stripe's Services Agreement and authorize us to charge your designated payment method on a recurring basis.
Prior to processing payment, we will display the following information on the checkout page: (a) the subscription plan name; (b) the billing frequency (monthly or annually); (c) the amount to be charged and the applicable currency; and (d) the automatic-renewal terms, where applicable. By confirming the transaction and completing payment, you acknowledge that you have reviewed and accepted the order details displayed on the checkout page before the transaction was confirmed.
Paid Plans are billed on a recurring basis (monthly or annually, depending on your selection).
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
Pricing for renewal periods will be at the then-current rate, which we will communicate to you in advance of any price changes.
Where required by applicable law, or otherwise at our discretion as a courtesy, we may send a reminder of an upcoming annual renewal to the email address associated with your account. Any such reminder is provided as a courtesy only: our failure to send, or your failure to receive, a reminder does not affect the validity of the renewal or the resulting charge and does not entitle you to a refund, except where mandatory applicable consumer-protection law provides otherwise. By subscribing to a Paid Plan, you expressly consent to automatic, recurring charges to your designated payment method in accordance with this Section until you cancel.
If you do not cancel before the renewal date and a renewal charge is processed, that charge is non-refundable, except as expressly provided in Section 6.e or as required by mandatory applicable consumer-protection law.
You may cancel your subscription at any time through your account settings or by contacting us at info@ponder.ing. Cancellation stops future automatic renewals only; it does not end your current subscription term early and does not trigger a refund of fees already paid. Cancellations take effect at the end of your current billing period, and you will retain access to Paid Plan features until that time. Cancellation prevents future renewals but does not entitle you to a refund of any amount already paid for the current or any previous billing period, except as expressly provided in Section 6.e.
Except where required by applicable law, all payments for subscriptions, Credits, or other paid features are final and non-refundable. You acknowledge that once access to a paid service or Credit has been granted, we have fully performed our obligations and no refund will be issued. Cancelling a subscription stops future renewals but does not refund the current period, and we do not pro-rate unused time, features, or Credits. Plan changes and downgrades take effect at your next renewal, with no refund of any difference.
We may, at our sole discretion, consider a refund request in exceptional circumstances, such as a verified technical fault on our side or a duplicate or clearly erroneous charge. If approved, any refund will be calculated based on the proportion of unused Credits or unused subscription time, excluding any discounts, promotions, bonus Credits, or taxes, and may be issued as Credits to your account rather than to your original payment method. Eligibility and amount are determined solely by us, and any such refund sets no precedent.
Nothing in this Section limits any non-waivable rights you may have under the mandatory consumer-protection laws applicable to you. Where such law requires a refund, we will provide one to the extent required.
Approved refunds are processed to your original payment method within 3–15 business days, depending on your payment institution. To request that we review a charge, contact us at info@ponder.ing within 14 days of the charge with your account email and the order or invoice number. If you purchased through a third-party platform, refunds must be requested through that platform under its own policy.
We may refuse or limit a refund where: (a) your account has been restricted, suspended, or terminated for a policy violation, abuse, or fraud; (b) you have already received a refund for the same or a similar product or service; (c) the subscription or Credits were obtained through a promotion, coupon, or discounted pricing; (d) you are dissatisfied with the quality, style, or subjective results of AI-generated output, which by its nature may vary, as described in Section 5.c; or (e) the request is made after the applicable period, or relates to used Credits or consumed services. We reserve the right to refuse or limit refund requests at our discretion to prevent abuse or excessive refund activity.
If a payment fails or your account becomes past due, we may:
Suspend or downgrade your access to Paid Plan features;
Retry charging your payment method;
We reserve the right to modify subscription pricing at any time. Any change to the pricing applicable to your recurring subscription will take effect at your next renewal, and we will notify you of the change in advance by email or through the Services. If you do not cancel before the change takes effect and you continue to use the Services, you will be deemed to have consented to the new pricing. If you do not agree to a price change, your sole remedy is to cancel before the change takes effect in accordance with Section 6.d.
You are responsible for any applicable taxes, duties, or government assessments associated with your subscription, except for taxes based on our net income.

By using the Services, you grant us a limited, non-exclusive license to process your content solely for the purpose of delivering the Services.
All code, design, logos, and proprietary components of ponder.ing are the property of ponder.ing or its licensors and are protected by intellectual property laws.
Our Privacy Policy explains how we collect, use, and protect your data. By using the Services, you agree to our data practices as outlined therein.
We may modify, suspend, or discontinue the Services or any part thereof at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.
We may suspend or terminate your access to the Services at our sole discretion, including for violations of these Terms or if your actions create legal risk for us.
If we terminate or suspend your subscription for reasons other than your breach of these Terms, fraud, or abuse — for example, where we discontinue the Services or a feature you have paid for — we will provide a pro-rata refund of any pre-paid fees corresponding to the unused portion of your then-current billing period, unless we are prohibited from doing so by applicable law. For the avoidance of doubt, no refund will be provided where the termination or suspension results from your breach of these Terms, fraudulent activity, or violation of Section 7 (User Conduct).
The Services are provided "as is" and "as available" without warranties of any kind.
Without limiting the foregoing, we do not warrant that the Services or any AI-generated output will be accurate, reliable, complete, current, error-free, secure, or uninterrupted, and we shall not be liable for any decision made, action taken, or output relied upon by you on the basis of the Services or any AI-generated output. Your use of the Services and of any such output is at your own risk.
In the event that we receives various objections from a third party, including a claim for damages or a lawsuit, arising from your tortious conduct or breach of these Terms in connection with your use of the Services, you shall indemnify and hold us harmless from all such liabilities at your sole cost and expense; provided, however, that we shall be liable for any damage caused by our willful misconduct or gross negligence in accordance with the applicable laws and regulations.
To the maximum extent permitted by law, ponder.ing shall not be liable for:
Your sole remedy for dissatisfaction with the Services is to stop using them.
In the event that we are unable to provide the Services due to natural disasters or other force majeure events equivalent thereto, we shall be indemnified from its responsibility to provide the Services.
These Terms are governed by the laws of HKSAR, without regard to conflict of laws principles, provided, however, that the protection granted to users under the mandatory provisions of the country in which they have their habitual abode shall not be deprived.
Any dispute between us and a user shall be subject to the jurisdiction of the courts located at the user's address at the time of filing the lawsuit, and if there is no available address, the lawsuit shall be subject to the district court having jurisdiction over the residence.
Subject to applicable mandatory laws, any dispute between us and a User whose address or residence is in a foreign country shall be subject to the jurisdiction of the courts of HKSAR, notwithstanding anything to the contrary.
These Terms and our Privacy Policy constitute the entire agreement between you and ponder.ing regarding the Services. If any part of these Terms is found invalid, the rest will remain in full force. Our failure to enforce any provision does not waive our right to do so later.

Unauthorized or improper use of third-party content is strictly your responsibility, and you agree to indemnify ponder.ing against any claims arising from such misuse.
